1.    Introduction
(a)    The website Virtual Lawyer 365 i.e.www.virtuallawyer365.com including any other media form, media channel, mobile website, or mobile application related or connected thereto (collectively, the or this “Website”) is operated by Mobitech NG (“We”, “Us”, “Our” or “Virtual Lawyer”). These terms and conditions (these “Terms”) along with the terms and conditions as stated in our Privacy Policy (please refer to the Privacy Policy section in this website for more information) govern the use of this website by the user (“You”, “Your”, “Subscriber” or “User”) and services (“Services”) availed by the User from Virtual Lawyer and those provided by Virtual Lawyer and the interaction between the User and Virtual Lawyer, whether through emails or otherwise. At present, Virtual Lawyer is providing a platform for facilitation provision of legal services in India. The details of the Services that can be availed by the User has been listed in the “Services Offered” page of our website.

(b)    These Terms constitute a binding obligation on the User and the use and access to this Website is made subject to these Terms. Agreeing to use this Website or the Services by entering your details and clicking “Sign up” or “Submit” constitutes your acceptance and agreement to be bound by these Terms, and all other operating rules, policies and procedures that may be published from time to time on this Website by us, each of which is incorporated by reference and each of which may be modified from time to time without notice to you. In the event you are choosing to use and access this Website or any of the Services without reading these Terms, it is assumed that you wish to bind yourself thereunder by choosing not to know them. 

(c)    The Users of this Website are granted a non-exclusive, non-transferable, revocable and limited license to access and use this Website and the Services in accordance with these Terms. Virtual Lawyer reserves the right to deny further access to its service to any User who violates these Terms.

(d)    We reserve the right to change these Terms from time to time without notice. By continuing to access or use this Website or the Services offered on this Website after any such amendments or modifications, you agree to be bound by such amended or modified Terms. For this reason, we encourage you to review the Terms every time you use this Website or avail any of the Services from Virtual Lawyer. If you do not agree to any change to these Terms, then you must immediately stop using this Website or the availing of any of the Services offered on this website.

2.    Eligibility & Registration
(a)    The use of the Website is available only to persons who are can enter into a legally binding contract. The Services are not offered to anyone who is not a major and, in any case, not under the age of 18 years and/or who is not competent to contract as per the laws applicable to the User. By using the Services, you represent and warrant that you are at least the age of majority in your place of residence and in any case not under 18 years of age and that you are competent to contract as per the laws applicable to you. If you are not the age of majority in your place of residence and in any case if you are under the age of 18 years or if you are incompetent to contract as per the laws applicable to the User, you must not, under any circumstances or for any reason, use the Services. We may, in our sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time. By accepting these Terms and by using this Website you confirm that you are not in violation of any contracts, laws, rules and regulations applicable to you. Further, the Services are offered only for your use, and not for the use or benefit of any third party, unless you are acting on behalf of an entity, organization, or company which you are authorised to represent and act on behalf of.

(b)    If you are using this Website or the Services on behalf of an entity, organization, or company, you represent and warrant that you, in addition to the criteria mentioned in Clause 2(a) above, have the authority to bind such organization to these Terms and you agree to be bound by these Terms on behalf of such entity, organization or company.

(c)    To avail any of the Services, you can contact us by directly submitting the form in the Contact Us section of the Home page of this Website or by registering and operating an account on the Website (an “Account”). You must provide accurate and complete information while filling up the form or while opening or operating your Account and keep your Account information updated. You shall not: (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; or (iii) use, as a username, a name that is otherwise offensive, vulgar or obscene. You are solely responsible for the activity that occurs on or through your Account, regardless of whether the activities are undertaken by you, your employees or a third party (including your contractors or agents), and for keeping your Account password secure. You may never use another person's user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services, breach of security or unauthorized use of your Account and of any loss, theft or disclosure of your password. You should never publish, distribute or post login information for your Account. Failure to comply with these requirements shall constitute a breach of these Terms and shall constitute grounds for immediate termination of your account and your right to use the Website. Virtual Lawyer will not be liable for any loss or damage as a result of your failure to provide us with accurate information or your failure to keep your account secure. 

(d)    If the Account is inoperative for a period of 1 (one) year, Virtual Lawyer reserves its right to suspend or terminate your Account with or without notice.

(e)    You shall have the ability to delete your Account, either directly or through a request made in writing to us at any point of time.

3.    Relationship between the User and Virtual Lawyer
(a)    Virtual Lawyer is a web portal that presently offers the Services through lawyers and/or law firms based in India (“Identified Lawyers”) whom Virtual Lawyer has engaged as its consultants for providing the said Services. 

(b)    Virtual Lawyer has made every effort to verify that the Identified Lawyers engaged by it are licensed by the State Bar Councils to practice law in India and have a good standing and reputation and necessary experience and expertise to provide the Services. However, while some basic verification is conducted by Virtual Lawyer it makes no representation, guarantee or warranty (express or implied) regarding the status, standing, qualifications, legal ability, competence or experience of any of its Identified Lawyers. Virtual Lawyer further does not in any manner guarantee that it will successfully be able to provide through its Identified Lawyers all or any of the Services requested by the User through this Website.

(c)    Once the User sends a Request for Legal Services as mentioned in Clause 4(a), Virtual Lawyer shall send a confirmation of acceptance of the assignment along with the scope of the Services as well as the Fees payable for the Services as well as terms of payment of such Fees as detailed in Clause 4(b) below. Virtual Lawyer does not disclose the details or identity of its Identified Lawyers on its Website since there are strict rules and regulations in India barring a practicing attorney in India from either directly or indirectly soliciting work or advertising.

(d)    Based on the Services requested by the User, Virtual Lawyer identifies the Identified Lawyer to provide the same to the User. Virtual Lawyer is not responsible for, and in no way endorses any particular Identified Lawyer over another. Virtual Lawyer is merely a web portal that provides a platform or a venue that facilitates communication between Users of the Services and the Identified Lawyers. Identification and provision of Services through the Identified Lawyers does not in any manner imply an endorsement by Virtual Lawyer of any Identified Lawyer or any representation, guarantee or warranty (express or implied) regarding the status, standing, qualifications, legal ability, competence or experience of any of its Identified Lawyers. 

(e)    Virtual Lawyer is also not a legal referral service. Further Virtual Lawyer does not provide any direct legal service nor does it claim to be a law firm either. Virtual Lawyer does not in any manner offer any legal advice, recommendations, mediation, or counselling under any circumstance. Virtual Lawyer merely connects the User with the Identified Lawyer identified by it and in no way solicits any Services on behalf of the User.

(f)    No attorney-client relationship shall be created or deemed to be created between the User and Virtual Lawyer. All communications with Virtual Lawyer or through this Website are protected by our privacy policy (“Privacy Policy”); they are not attorney work-product and are not protected under any privilege (including attorney-client privilege). Since the Services provided by the Identified Lawyers to the User is through this Website or the platform set up by Virtual Lawyer, no direct engagement or agreement will be entered into between the User and the Identified Lawyer and all communications will be conducted through this Website. However, the Identified Lawyer will be bound by attorney-client privilege and confidentiality obligations towards the User.

4.    How Virtual Lawyer works?
(a)    As stated above, any User intending to avail any of the Services can either directly submit the form in the Contact Us section of the Home page of this Website or register for an Account on the Website by filling out some basic details such as (i) Name, (ii) Email, (iii) Phone Number and (iv) Company name, if applicable. At the time of filling of the form or once an Account is created, the User can send a description of the legal query/ legal services required by such User in the Message column next to Contact Us on the Home Page or in the Consultation Request Page of this Website and click “Submit” or “Submit Query”, as the case may be. Alternatively, the User can reserve an “Introductory Session” or an Hourly Consultation or Complete Legal Services in the Consultation Request Page of this Website and click “Request”. The User however will be able to reserve Services on the Consultation Request Page only on creation and registration of an Account. Once the User submits the query or requests for an introductory session or hourly consultation or complete legal services as above, the same is treated as a “Request for Legal Services”. On a Request for Legal Services being made by the User on this website, all further communications between the User and Virtual Lawyer shall be through emails. Additionally, in case of an Hourly Consultation, the consultation will be, as far as practicable, through Video Conferencing. The email given by the User at the time of creating the Account will be treated as the official email for all communication and notices with the User. Please note that Virtual Lawyer has the discretion whether or not it will accept the Request for Legal Services.

(b)    Once a Request for Legal Services is made, Virtual Lawyer (subject to its right to not accept a Request for Legal Service) will review the request and identify an appropriate Identified Lawyer. Upon such identification and only if required, Virtual Lawyer may set up a complimentary 15 minutes Introductory Session with the Identified Lawyer through audio or video conference. Such communication can also be through emails instead of an audio or video conference as per the discretion of Virtual Lawyer. The User can also directly book a complimentary 15 minutes Introductory Session on the Consultation Request Page of this Website and click “Request”. Based on the communication between the User and Virtual Lawyer after a Request for Legal Services, Virtual Layer will shall send a confirmation of acceptance of the assignment along with the scope of the Services as well as the Fees payable for the Services as well as terms of payment of such Fees (“Terms of Assignment”). The Terms of the Assignment will need to be accepted by the User either through e-mail or by signing the Terms of Assignment through DocuSign. 

(c)    Based on the details disclosed by the User while filing up the form or setting up the Account and/or while making a Request for Service, Virtual Lawyer will run a conflict check with in its Identified Lawyer to ensure that the Users interests are never compromised.

(d)    Virtual Lawyer also offers facilitation by “Hourly Consultation”” for the User to resolve any of his/her/its general legal issue/query through a one-on-one consultation with an Identified Lawyer through the facility of a video conference, as far as practicable. A User interested in availing an Hourly Consultation can directly book the same on the Consultation Request Page of this Website and click “Request” after selecting a suitable date and time slot available from the calendar. Based on the request, Virtual Lawyer will set up an Hourly Consultation between the User and the Identified Lawyer. Virtual Lawyer will make reasonable effort to arrange the Video Conferencing on the date and time slot selected by the User. In case the requested date and time is not available, Virtual Lawyer will provide the User the details of the available date and time slots and fix the Hourly Consultation for the slot selected by the User. The Hourly Consultation shall be charged as per fee schedule mentioned in the Website and all payments for such Hourly Consultation will need to be made upfront prior to holding of such consultation. In case the User wishes to extend the Hourly Consultation by another hour, the same can be done at the end of the immediately preceding hour by making a payment for same. Such extension would be subject to availability of the concerned Identified Lawyer. The User will not be allowed to record, video or audio, the discussions held during the Hourly Consultation or the Introductory Session. 

(e)    In order to avail the Services, you will be required to share certain details, information and documents (“Information”) pertaining to your legal query. You agree that you will provide true, accurate, current and complete Information and further represent that the Information does not infringe on any intellectual property rights, trade secret or other proprietary right of any third person. All Services provided through the Identified Lawyers will be based on the assumption that you have all the rights and authority to share the Information and that the Information is true, accurate, current and complete and does not violate or infringe upon any intellectual property rights, trade secret or other proprietary right of any third person. Neither Virtual Lawyer nor the Identified Lawyer providing the Services have an obligation to verify or check the source or the accuracy of any Information the User provides or be held liable for the same. The User further permits Virtual Lawyer to share all such Information with the Identified Lawyer for providing the requested Services to the User.

(f)    If you provide any Information that is untrue, inaccurate, not current or incomplete or if the Information infringes upon any intellectual property rights, trade secret or other proprietary right of any third person, and/or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete or that it infringes upon any intellectual property rights, trade secret or other proprietary right of any third person, we have the right to terminate your Services. Further, you agree and acknowledge that the Services may be affected if any of the Information is untrue, inaccurate, not current or incomplete or if any of the Information infringes upon any intellectual property rights, trade secret or other proprietary right of any third person. Neither Virtual Lawyer nor the Identified Lawyer providing the Services shall be held liable for negative consequences caused by such Information received from the User or by a lack of necessary instructions.

(g)    Since we deal with information that is highly confidential, Virtual Lawyer implements a variety of physical and electronic measures designed to protect such information. All Information shared by you with Virtual Lawyer or any of the Identified Lawyer (other than content or information that is publicly available including but not limited to information or content shared by you on this website) shall be confidential and will be shared through emails between You and Virtual Lawyer. If the Services provided through the Identified Lawyers requires providing of any document or written advise containing any confidential information, the said document or written advise, at your specific written request, will be password protected. In this case, the password will be mailed to you separately.

(h)    The estimate turn-around time for providing any Services will be indicated in the Terms of the Assignment. However, please note that we follow first come first serve model.

5.    Fee Structure and Payment
(a)    All Services on this Website are chargeable (except the free question service) and the User will be required to pay for the same. 

(b)    The Fee payable for Services intended to be availed by the User and the terms of the payment will be mentioned in the Terms of Assignment sent to the User by Virtual Lawyer. 

(c)    Based on the Services requested by the User, the Fees will be charged on a fixed fee basis or on an hourly rate basis. The hourly fees for some of the Services including Hourly Consultation is mentioned in the Website. All Fees are to be paid upfront by the User unless otherwise indicated in the Terms of Assignment. Invoices will be raised by Virtual Lawyer upon the User. 

(d)    Payments not made in accordance with clause 5(c) or in accordance with the accepted Terms of Assignment within ten (10) days of invoicing will be deemed in arrears. If any amount is more than ten (10) days overdue, Virtual Lawyer may immediately suspend further Service to the User or the Account of the User without any requirement of notice to such User and be entitled to bring legal action to collect the full amount due. 

(e)    All payments are to be made in USD. Virtual Lawyer currently accepts payment through PayPal. Other forms of payment may be arranged by contacting Virtual Lawyer at info@virtuallawyer365.com. Please note that any payment terms presented to you in the process of using or signing up for the Services including those contained in the Terms of Assignment are deemed part of this Agreement.

(f)    We use third-party payment processors (the “Payment Processors”) to process your payments for availing the Services. The processing of payments may be subject to the terms, conditions and privacy policies of the Payment Processors in addition to this Agreement. We are not responsible for error by the Payment Processors. By choosing to avail the Services, you agree to pay us, through the Payment Processors, all Fees as indicated in the Terms of Assignment in accordance with the applicable payment terms.

(g)    Users shall be responsible for any duties, customs fees, taxes, and related penalties, fines, audits, interest and back-payments relating to availing of any Services, including but not limited to national, state or local sales taxes, use taxes, value-added taxes (VAT) and goods and services taxes (GST) (collectively “Taxes”). Virtual Lawyers’ standard pricing policies do not include and are not discounted or enhanced for any such Taxes. If Virtual Lawyer becomes obligated to collect or pay Taxes in connection with the User’s purchase of the Services, those Taxes will be invoiced to that User as part of the billing process or collected at the time of purchase. 

6.    General Terms relating to provision of Service
(a)    Virtual Lawyer is in no way responsible for correctness or the suitability of any of the Service including legal advice provided by any of its Identified Lawyers, as it is only a third-party facilitator and not a law firm or a legal professional. The User shall not be entitled to raise any claim against Virtual Lawyer, in case of any issues with the Services rendered by any of the Identified Lawyer. You further agree that Virtual Lawyer is in no way responsible for any loss incurred by you in terms of cost or any damage arising out of or based out of any malpractice.

(b)    Virtual Lawyer shall not be liable for any loss suffered by you through the use of the Website howsoever caused, including but not limited to loss caused on account of our negligence, breach of contract, copyright infringement, and breach of other intellectual property rights or defamation.

(c)    All the materials and information provided to you on the Website is only for the purpose of providing information and no other purpose at all. Also, the site is in no way promoting, advertising or publishing any content that is unethical or against the public policy or against the interest of any society or group in tandem.

(d)    You acknowledge that all new services or features launched by us in future will also be subject to these Terms.

(e)    You acknowledge and agree that the we can assume no responsibility for any failure or inability to provide any of the Services mentioned in the Website. However, no Fees shall be charged if the Services availed of are not rendered and if charged, the same will be refunded.

(f)    The Services availed of by the User through this Website shall not be used for commission of any crime or for violating or acting in breach of any laws, rules or regulations. 

(g)    If the Information provided by the User or any other communication with the User either with Virtual Lawyer or the Identified Lawyer indicates that the User is in the process of committing or intending to commit a crime or fraudulent act or that the User is seeking the Services with intent to either further a crime or a fraud, or to cover it up, then in such event, Virtual Lawyer or any of the Identified Lawyer shall not be bound by the terms of confidentiality and Virtual Lawyer reserves its right to report the same to the appropriate authority.


7.    User Guidelines for Website Usage
(a)    You confirm that you are of legal age to access the Website, access the Website and the Services, request for an Identified Lawyer and make payment for the Services as per the Terms of Assignment. We reserve the right at our absolute discretion to: (i) restrict or block your access to the Website, (ii) delete, modify or limit your Account at any time, or (iii) terminate these Terms and/or (iv) such other measures as we deem appropriate in our exclusive discretion. Notwithstanding the above, all your obligations under these Terms shall continue to survive.

(b)    You shall not use the Website in any way that causes damage to the Website or in any unlawful, harmful, illegal or fraudulent manner. You agree not to interfere with legitimate use of the Website and our Services by other users. You agree to indemnify us against all costs, claims, liabilities, demands or expenses incurred as a result of your use of this Website or in case of any breach of these Terms by you.

(c)    Users engaged in any of the following activities on the Website or while availing any Services or while communicating or interacting with Virtual Lawyer or any of its Identified Lawyers will not be tolerated:
    Use Foul or otherwise inappropriate language
    Display of inappropriate pictures and/or material of any kind
    Racist, hateful, or otherwise offensive comments
    Promotion or provision of instructional information about illegal activities, or promoting physical harm or injury against any group or individual
    Defamation of any person or group which includes people of all ages, races, religions, and nationalities
    Display material that exploits children under 18 years of age
    Violation of the rights of another, including but not limited to the intellectual property rights of another. 
    Violation of Internet standards
    Use of the Website or the Service for displaying harassing, abusive, threatening, harmful, vulgar, obscene, or tortuous material or invading other’s privacy
    Interference with or disruption of this Website or provision of Service or servers or networks connected to this Website by any means including but not limited to by posting advertisements or links to competing services, transmitting “junk mail”, “spam”, “chain letters”, or unsolicited mass distribution of e-mail
    Compromising the security of this Website and the Services that this Website provides. 
    Tries to gain access to system areas private to the Website or to other Users.
       
(d)    In order to avail the Services, you will be required to set up Account and provide certain information about yourself (such as name, email, phone number as part of the registration process, or as part of your ability to avail the Services. You agree that any information you provide will always be accurate, correct, and up to date.

The Account that you create on our Website will be used to store your consultations and your query online just for the purpose of maintaining a record for future references. You agree that your registration details will be used by us to provide you with news and other information. 

(e)    You agree to keep your username (the “Username”) and password safe from use by third parties and not to share your registration details with anyone else, unless if your Username is a bona fide account that represents a group or organization in which case you may share the registration details with members of such group or organization. You are responsible for maintaining the confidentiality of any login information associated with any Account you use to access our Services. Accordingly, you are responsible for all activities that occur under your Account. You agree to indemnify us against any unauthorized use of your Username and password, howsoever caused. We reserve the right to modify the membership information you provide, as well as to delete, disable and/or restrict your account.

(f)    Accessing or availing (or attempting to access or avail) any of our Services by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Services through any automated, unethical or unconventional means.

(g)    Engaging in any activity that disrupts or interferes with our website or provision of Services through our Website, including the servers and/or networks to which our website is connected, is strictly prohibited.

(h)    You are solely responsible any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.

(i)    You hereby agree that, by creating an Account on this Website or making a Request for Legal Services or availing any of the Services including the free question services, you are soliciting and requesting a contact by telephone or email or audio or video call and as such, you may be contacted by telephone or through audio or video call or e-mail as set forth in these Terms and in our Privacy Policy, notwithstanding the listing of your telephone number and/or e-mail address in any applicable do-not-call registries. You further agree that details provided by you can be used by us to communicate with you including but not limited to provide you with news, updates and other information including information about our Services.

(j)    We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you confirm that you are allowed under the law to publish all content, images or information that you submit to the Website and further agree that you will not upload, post, share, or otherwise distribute any content that:
    Is illegal, threatening, defamatory, obscene, threatening, offensive, harmful, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, contains any type of suggestive, inappropriate, or explicit language or otherwise objectionable;

    Infringes on any trademark, patent, trade secret, copyright, or other proprietary right of any party;

    Contains any type of unauthorized or unsolicited advertising;

(k)    We have the right at our sole discretion to remove any content that, we feel in our judgment does not comply with these Terms, along with any content that we feel is otherwise objectionable, offensive, inaccurate, harmful, or violates any third-party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal, and consent to waive any claim against us.

(l)    We do not assume any liability for any content posted by you or any other third-party users of our website. However, any content posted by you using any open communication tools on our website, provided that it doesn’t violate or infringe on any third-party copyrights or trademarks, becomes the property of Virtual Lawyer, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, modify, adapt, translate, publish, publicly display and/or distribute as we see fit in any media formats and through any media channels and including but not limited to after termination of your Account or the Services or your access to this Website. This only refers and applies to content posted via open communication tools as described, and does not refer to information that is provided as part of the registration process, necessary in order to use our Services or provided at the time of making a Request for Service or for availing of any of the Service. All information provided as part of our registration process or provided at the time of making a Request for Service or for availing of any of the Service is covered by our Privacy Policy. 

8.    Privacy 
(a)    Your privacy is very important to us, which is why we’ve created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your private information. Our privacy policy will form a part of these Terms.
 
9.    Limitation of Warranty
(a)    This Website and the Services provided through this Website are provided on a “as is” and “as available” basis. Virtual Lawyer expressly disclaims all representations, guarantees or warranties of any kind, express or implied, including, but not limited to, the implied warranties of title, non-infringement, fitness for a particular purpose, and any warranties implied by and during any course of performance or usage of trade, to the fullest extent permitted by law

(b)    Virtual Lawyer makes no warranty that: (a) this Website or the Services provided through it will meet your requirements; (b) this Website or the materials site or the Services will be available on an uninterrupted, timely, secure or error-free basis; (c) the results that may be obtained from the use of the Website, or any Services offered through the Website, will be accurate or reliable; or (d) the quality of any Services purchased or obtained by you through this website. Obtaining any Services through the use of the Website is done at your own discretion and at your own risk.

(c)    Virtual Lawyer shall have no responsibility for any damage to your computer system or loss of data that results from the download of any content, materials, information or software.

(d)    Virtual Lawyer does not make any representations or give any guarantees or warranties (express or implied) regarding the status, standing, qualifications, legal ability, competence or experience of any of its Identified Lawyers.

10.    Limitation of Liability
(a)    In conjunction with the limitation of warranties as stated above, you expressly understand and agree that any claim against us, if any, shall be limited to the amount you paid, if any, for availing any of the Services on this Website. Virtual Lawyer will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using our Services or as a result of any act or omission on the part of any of the Identified Lawyers.

11.    Indemnification

We reserve the right to take over the exclusive defence of any claim for which we are entitled to indemnification under this Terms. In such event, you shall provide us with such cooperation as is reasonably requested by us.

13.    Termination of Use
(a)    We may suspend or terminate your Account or access to all or any part of the Website at any time, with or without cause, with or without notice and for any reason, effective immediately, which may result in the forfeiture and destruction of all information associated with your Account. 

(b)    Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. 

(c)    Upon suspension or termination, your right to use this Website or avail any Services we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any Account or login information.

(d)    In the event of any termination and deletion of your Account, all ongoing Services will be terminated with immediate effect irrespective of whether you have paid for such Services or not. (e)    Any fees paid hereunder are non-refundable. You remain obligated to pay any fees accrued but not yet paid at the time of termination.

(f)    All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, licenses of content publicly posted by the User on the Website, warranty disclaimers, indemnity, limitations of liability, governing law.

14.    Cancellation and Refund
(a)    Cancellation of any of the Services is not possible once the payment has been made. No refunds will be given except in the event of cancellation on account of Services not provided by Virtual Lawyer.

(a)    Virtual Lawyer shall not be liable for any failure to provide any of the Services once the User has accepted the Terms of Assignment and made the payment of the Fees where such failure results from any Force Majeure Event or due to any cause beyond our reasonable control, including, without limitation, any strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, fire, floods, epidemics; pandemics, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; mechanical, electronic or communications failure or degradation, hacking, virus attack, crashing of servers or computer system etc.

17.    Assignment
(a)    These Terms are personal to you, and is not assignable, transferable or cannot be sub-licensed by you except with our prior written consent. We may assign, transfer or delegate any of our rights and obligations hereunder without your consent.

18.    Agency
(a)    No agency, partnership, joint venture, or employment relationship is created as a result of these Terms and neither party has any authority of any kind to bind the other in any respect.
